We will comply with both the letter and the spirit of all laws and regulations and employ sound judgment as corporate employees to act according to high ethical standards.
We will interact more closely with local communities to build good relationships with them and help offer solutions to issues and promote their development.
We will maintain no relationships whatsoever with antisocial forces (e.g., organized crime syndicates or extortionists). We will deal firmly with any approaches from antisocial forces and will reject any improper demands they may make.

We will take positive action to reuse and recycle products, equipment, and other resources. We will not provide any entertainment, gifts, or the like to public officials or their equivalent for the purpose of obtaining unfair benefits or preferential treatment. We also will not accept such entertainment, gifts, or the like.
We will not make any demand of or coerce any supplier or business partner in violation of laws and regulations. In addition, if we are subjected to such a demand or coercion, we will resolutely reject it.
We will not engage in any acts prohibited by the Antimonopoly Act, such as unfair trade restrictions (e.g., cartels or bid rigging) and private monopolization, or any other acts that impede fair, equal, transparent, and free competition, in any of our transactions or business activities.
We will cherish and maintain relationships of trust with our suppliers and business partners, aiming for mutual prosperity and continuation.
We will always maintain an equal and fair standpoint with regard to our suppliers and business partners and will not engage in any acts that could disadvantage them, such as abuse of a superior position. We will select our suppliers fairly according to the Joshin Group Procurement Policy & Procurement Guidelines and the Joshin Group Anti-Corruption Policy.
With respect to affiliated companies, subcontractors, and franchisees, we will respect each other’s autonomy, implement anti-corruption measures, and build fair and sound partnerships. We will maintain rigorous oversight of cash, inventory, and related matters, and administer our company’s assets properly in accordance with internal policies. In addition, we will not use our company’s assets or expenditure for unauthorized purposes including personal use.
We will respect the rights of holders of trademarks, design rights, patents, and other intellectual property rights, and will not deal in products that improperly infringe on the intellectual property rights of third parties.
We will handle logos and trademarks properly according to internal rules after checking with the relevant internal department.
Pursuant to Japan’s Companies Act, securities-related laws and regulations, and other applicable laws and regulations, we have put in place an internal control system to conduct honest and transparent financial reporting, which we are currently using, and will ensure that the system remains reliable and appropriate.
We will seek to respond to the trust placed in us by stakeholders such as shareholders and investors by disclosing information including our company’s financial position and business progress, based on understanding of the Joshin Group Disclosure Policy. Such disclosure will be fair, timely, and appropriate, and the relevant departments will act as contact points to deal with inquiries in good faith.
We will transmit no material non-public information whatsoever inside or outside the Joshin Group unless it is necessary to do so in the course of conducting business.
We will adhere strictly to internal rules to prevent insider trading.
We will not make use of non-public insider information that could potentially influence share prices to conduct share-related transactions including buying or selling.
Related Policy:
We will handle personal information held by us properly in accordance with our Personal Information Protection Policy and the Joshin Group’s Basic Policy on Information Security to prevent it from being lost, leaked, altered, or compromised in any other way. In the unlikely event of an incident such as loss or leakage, we will promptly report the incident and strive to prevent the damage spreading further, or secondary damage occurring.
We will use personal information for which an employee, a customer, a business partner, or any other individual has given consent exclusively within the scope of the original purposes of use, and will take measures to prevent any use beyond that scope.
We will carefully manage both internal and external confidential information of which we become aware in the course of business. We will not disclose or leak such information in violation of internal rules, or acquire or use such information in an unauthorized or improper manner, either while we are employed within the Joshin Group or after we have left our employment with the Group.
We will use our company’s information systems exclusively to perform business tasks and will not use them for personal purposes.
We will not access data without authorization, install unapproved software on work devices, or access the intranet on devices other than those stipulated by our company. In addition, we will comply with the instructions of departments responsible for information systems, as well as internal rules, and other requirements.
If we transmit information via social media or similar means, we will clearly distinguish between our company’s official communications and our own personal communications.
We will not transmit non-public information or confidential information. In addition, we will not transmit information that could amount to slander, discrimination, or libel, or could in any other way infringe upon the rights of the Joshin Group or a third party.
Related Policies:
If we become aware of a violation of laws and regulations or internal rules, or of actual or potential misconduct, we will consult with our superiors or the relevant department. If we cannot consult with our superiors or the relevant department, we will strive to facilitate resolution of the issue by reporting what we know via one of the whistleblowing channels.
If we are approached with a request for consultation or a report, we will handle the matter in good faith according to the standards governing the operation of the public interest notification system, whether or not it is formally our responsibility to deal with such notifications. To protect those who request consultations or make reports and those who cooperate with investigations, we will ensure that all details are kept strictly confidential and will not permit any disadvantageous treatment or retaliation toward such individuals.
【Applicability】
The Joshin Group Code of Conduct applies to all officers and employees of the Joshin Group (including contract employees, temporary employees, Career Promoters, and Smile Partners).
【Revisions】
Revisions to the Joshin Group Code of Conduct are made following discussion by the Board of Executive Officers and approval by the Board of Directors.
